1. Parties and Definitions

These terms apply to contracts between Bedford Bi-folds Ltd (company number 09585698, VAT number 213 161 458) and the customer named on the quotation, order confirmation or invoice.

  • “Bedford Bi-folds”, “we”, “us” or “our” means Bedford Bi-folds Ltd.
  • “Customer”, “you” or “your” means the person, company or organisation placing the order.
  • “Goods” means the windows, doors, glass, frames, hardware, accessories and other products supplied by us.
  • “Bespoke Goods” means goods made to measure, made to order, manufactured to your specification, or otherwise personalised for your project.
  • “Installation Services” means survey, measuring, fitting, making good and associated services we agree to provide.
  • “Order” means your accepted quotation, signed order form, purchase order, invoice, schedule of works and any agreed specification.
  • “Specification” means the written specification, drawings, sizes, colours, handing, glass details, ironmongery, finish and any other agreed project details.
  • “Business Day” means a day other than a Saturday, Sunday or bank/public holiday in England.

2. The Contract

Our quotation is an invitation to place an order and is valid for 30 days unless stated otherwise. A contract is formed only when we receive your signed order via e sign sent by us in writing and receive the required deposit.

The order must set out the full specification. You are responsible for checking all sizes, colours, design, handing, glass, cills, trickle vents, threshold details, access requirements and any other specification before signing or approving the order. Where surveys are included, no sizes will need customer approval unless requested by the surveyor.

Any showroom samples, brochures, website images, drawings, renders, photographs or marketing materials are for illustration only and do not form part of the contract unless expressly included in the accepted order.

Colours, textures and finishes may vary slightly between samples, screens, printed materials, batches and actual supplied products. Unlimited technical changes may be made where required for manufacturing, safety, product improvement or regulatory reasons.

3. Consumer Rights

Nothing in these terms affects your statutory rights. Goods supplied to consumers must be as described, fit for purpose and of satisfactory quality. Where installation is included, it must be carried out with reasonable care and skill.

Any guarantee offered by us is in addition to, and does not replace, your statutory rights.

4. Cancellation

If the contract is made at our business premises after you have visited us, you do not normally have a statutory right to cancel simply because you change your mind.

If the contract is made online, by telephone, email or away from our business premises, you may have a 14-day cancellation period for non-bespoke goods and services, subject to the Consumer Contracts Regulations.

Most windows and doors supplied by us are Bespoke Goods. Bespoke Goods made to your measurements or specification are excluded from the usual 14-day cancellation right once the order is accepted for manufacture.

As a goodwill policy, unless otherwise stated on the order, you may cancel Bespoke Goods without charge within 7 calendar days of the contract date provided manufacture, ordering of special materials or survey-specific processing has not already started.

If you ask us to start services during any cancellation period, you agree to pay for services, survey work, access equipment, administration, materials or other costs reasonably incurred up to the date of cancellation.

After the cancellation period, or once Bespoke Goods have entered manufacture pre cut, cancellation will be at our discretion and cancellation charges may apply up to the full contract price where goods cannot reasonably be reused or resold.

5. Survey and Technical Checks

Where we are installing the Goods, we may carry out a survey. The survey is for our benefit to check feasibility, sizes and installation issues. It is not a full structural survey, building survey or planning assessment.

If survey reveals that the specification, price or method of work must change, we will tell you. If the change increases the price, you may cancel within 14 days of our written notice, but you must pay for work, survey and costs already incurred.

We may cancel the contract after survey if we consider installation unsafe, unsuitable, commercially impractical or technically unsatisfactory. If we cancel for this reason, we will refund sums paid less any agreed survey or service costs already incurred.

6. Planning, Building Regulations and Approvals

Unless expressly agreed in writing, you are responsible for obtaining planning permission, listed building consent, landlord/freeholder consent, structural engineer calculations, building control approval and any other permissions required for the works.

We are not liable for delay, cost, enforcement action, redesign, removal, replacement or loss arising from missing, incorrect or refused permissions or approvals unless we expressly agreed in writing to be responsible for that item.

7. Price, Deposit and Payment

The price is the price shown on the accepted order, including VAT where applicable, unless there is an obvious error or an agreed variation.

A 75% deposit is payable on order unless the quotation states otherwise. The remaining balance is due immediately 3 days prior to your estimated installation, delivery, collection, or on the payment date stated by us, whichever is earlier.

We require cleared funds before delivery, collection, manufacture, installation or release of goods.

Payment may be made by bank transfer, debit card, cheque or cash where accepted. Cheques are not treated as paid until cleared. Returned cheques may incur an administration charge of £15.

If you pay in cash or we consider it necessary for compliance reasons, we may ask for evidence of source of funds and may refuse or delay acceptance of cash payments.

You must not withhold payment for minor snagging items. We will deal with legitimate snags within a reasonable time, but payment remains due for the completed works.

8. Price Changes and Variations

We may increase the price before delivery or installation to reflect changes caused by your requested amendments, inaccurate information supplied by you, delays caused by you, changes in taxes/duties, or exceptional increases in labour, materials, glass, aluminium, transport or supplier costs beyond our reasonable control.

Any variation requested by you must be agreed by us in writing. Additional works, remedial works not caused by us, access equipment, structural preparation, making good beyond our agreed scope, or return visits caused by site not being ready may be charged extra.

9. Installation Responsibilities

  • You must provide safe, clear and reasonable access at the agreed date and time.
  • You must remove curtains, blinds, ornaments, furniture and valuables from the work area before we arrive.
  • You must isolate, remove or re-site alarms, sensors, cables, pipes, aerials, phone lines, electrics, plumbing or other services affected by the works unless we agree otherwise in writing.
  • You must keep children, pets and other people away from the work area.
  • You must ensure openings, structural supports, builders work and site conditions are ready where others are preparing the site.
  • You must tell us about asbestos, unsafe structures, hidden services, access restrictions or known defects before work starts.

If we cannot carry out installation because the site is not ready, access is not available, services have not been moved, openings are unsuitable or the work area is unsafe, we may charge an abortive visit fee of £580 plus VAT and any additional costs reasonably incurred.

Installation dates are estimates unless expressly stated as fixed in writing. We are not liable for loss of earnings, inconvenience, accommodation, other trades, penalties or consequential losses caused by delay, except where the law does not allow us to exclude liability.

10. Making Good and Existing Finishes

We will take reasonable care when removing and installing products. However, some disturbance to plaster, render, tiles, bricks, decorations, flooring, cladding, decking, trims, silicone or adjacent finishes may be unavoidable.

Unless expressly included in the order, we are not responsible for specialist making good, redecoration, matching existing finishes, removal/refitting of decking, cladding, flooring or other surrounding works.

For new openings, we recommend final plastering, rendering, flooring, cladding and decoration are completed after the products are installed so finishes can be brought neatly up to the frames.

11. Delivery, Risk and Title

Risk in the Goods passes to you when they are delivered to you, collected by you or installed at your property.

Ownership of the Goods remains with Bedford Bi-folds until all sums due under the contract are paid in full in cleared funds.

Until ownership passes, you must keep the Goods safe, identifiable, insured and free from damage or disposal.

12. Inspection, Damage and Snagging

You must inspect goods and installation on the final day or before. Visible damage to glass, frames or hardware should be reported to us using the sign off form provided onsite by our installers, if unsigned or signed unchecked BBF reserve the right to refuse claim once installers leave site.

Broken or damaged glass units should be recorded on the delivery note at the time of delivery wherever possible.

If you report a problem, we may inspect the Goods. If the issue is our responsibility, we will repair, replace or refund the affected part as appropriate within a reasonable time.

Glass quality will be assessed by reference to the relevant Glass and Glazing Federation visual quality standards, unless otherwise agreed in writing.

13. Guarantees

Guarantee terms are set out in our separate written Guarantee Document. Proof of purchase is required for any guarantee claim.

Guarantees do not apply to damage caused by misuse, accidental damage, lack of maintenance, third-party installation, building movement, structural defects, blocked drainage, unsuitable cleaning products, modifications, or events outside our reasonable control.

Condensation is affected by ventilation, heating, humidity and use of the property. We do not guarantee that condensation will not occur.

14. Liability

We do not exclude or limit liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, defective products under the Consumer Protection Act 1987, or any liability that cannot lawfully be excluded.

Subject to the above, we are responsible for foreseeable loss and damage caused by our breach of contract or negligence. We are not responsible for loss that is not foreseeable, business losses, loss of profit, loss of income, loss of opportunity, or losses caused by your breach of these terms.

Where we supply Goods for self-installation, you are responsible for correct installation by competent persons. We are not liable for damage or failure caused by incorrect storage, handling, fitting, glazing, adjustment or installation by others.

15. Force Majeure

Neither party is liable for delay or failure caused by events beyond reasonable control including supplier delays, transport disruption, strikes, fire, flood, storm, epidemic, war, terrorism, civil unrest, energy failure, machinery breakdown, shortage of materials, extreme weather or government action.

16. Data Protection and Images

We will process personal data in accordance with applicable data protection law and our privacy notice. Contact us at sales@bedfordbifold.co.uk for a copy.

You allow us to take and use photographs or videos of the installation for records, quality control, marketing and social media, unless you tell us in writing before installation that you do not consent to marketing use. We will not intentionally publish your personal address or private identifying details.

17. Complaints

We aim to acknowledge complaints within 7 working days, provide the name of the person dealing with the matter, investigate fairly, keep you updated and arrange a visit where required within a reasonable time.

If we cannot resolve the complaint informally, you may request our formal complaints procedure. Where applicable, disputes may be referred to relevant industry conciliation or ADR schemes.

18. General Terms

No variation is binding unless agreed in writing by an authorised representative of Bedford Bi-folds.

If any clause is found invalid or unenforceable, the remaining clauses continue in force.

A failure to enforce any right does not waive that right.

The contract is governed by English law and the courts of England and Wales have jurisdiction.
